Terms of Use

These Terms of Use ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Admiino Pte. Ltd. ("Admiino," "we," "our," or "us"), governing your access to and use of the Admiino platform, including our website at admiino.com, our web application at app.admiino.com, and all related features, tools, and services (collectively, the "Services").

By accessing or using our Services, you confirm that you have read, understood, and agree to be bound by these Terms. If you are accessing the Services on behalf of an organisation or employer, you represent that you have authority to bind that entity to these Terms. If you do not agree, you must immediately discontinue use of the Services.

These Terms should be read alongside our Privacy Policy, which governs how we collect and process your personal data.

1. Use of the Platform

Admiino provides a structured enterprise workspace for task delegation, team collaboration, workflow management, and performance optimisation. Access to the Services is provided subject to your compliance with these Terms.

By accessing or using the Services, you agree to:

• Use the platform solely for lawful purposes and in accordance with these Terms and all applicable laws and regulations;
• Provide accurate, current, and complete information when registering for or using the Services;
• Maintain the confidentiality of your account login credentials and restrict access to your account;
• Notify Admiino promptly if you become aware of any unauthorised use of your account or any security breach;
• Use the Services in a manner consistent with any applicable workplace policies, contractual obligations, and professional standards.

Admiino reserves the right to modify, suspend, or discontinue any aspect of the Services at any time with reasonable notice to registered users, except where required to do so immediately for security or legal reasons.

2. Account Registration & Responsibility

To access certain features of the Services, you must register for an account. You are responsible for:

• All activities that occur under your account, whether authorised by you or not;
• Keeping your login credentials strictly confidential and not sharing them with any third party;
• Ensuring that all information associated with your account is accurate and up to date;
• Immediately notifying us at contact@admiino.com if you suspect any unauthorised access to or use of your account.

Admiino shall not be liable for any loss, damage, or liability arising from your failure to comply with the obligations in this section, including losses arising from unauthorised access to your account where such access results from your failure to safeguard your credentials.

Accounts are personal to the registered user. You may not transfer your account to another person without Admiino's prior written consent. If you are accessing the Services as part of an organisation's subscription, your use is subject to any additional terms agreed between Admiino and that organisation.

3. Acceptable Use Policy

You agree to use the Services responsibly and professionally. You must not, and must not permit any third party to:

• Use the Services for any unlawful, fraudulent, or malicious purpose;
• Upload, transmit, or distribute any content that is harmful, defamatory, abusive, obscene, discriminatory, or otherwise objectionable;
• Upload, transmit, or distribute any content that infringes the intellectual property rights, privacy rights, or other rights of any third party;
• Introduce or transmit any viruses, malware, ransomware, spyware, or other harmful code into the platform;
• Attempt to reverse engineer, decompile, disassemble, or derive source code from any part of the Services;
• Attempt to gain unauthorised access to any part of the Services, other accounts, or Admiino's systems or networks;
• Scrape, crawl, or systematically extract data from the Services without prior written authorisation;
• Use automated tools, bots, or scripts to access or interact with the Services in a manner that disrupts or degrades performance;
• Use the Services to send unsolicited communications, spam, or phishing attempts;
• Use the Services in any manner that could damage Admiino's reputation, business, or relationships.

Admiino reserves the right to investigate suspected violations of this Acceptable Use Policy and to take appropriate action, including removal of content, suspension or termination of accounts, and referral to relevant authorities where required by law.

4. Intellectual Property

4a. Admiino's Intellectual Property

All content, software, algorithms, interfaces, designs, trademarks, logos, trade names, and other materials comprising or forming part of the Services ("Admiino IP") are owned by or licensed to Admiino Pte. Ltd. and are protected by applicable intellectual property laws, including copyright, trademark, and trade secret laws in Singapore and internationally.

Nothing in these Terms transfers or assigns any ownership of Admiino IP to you. All rights not expressly granted herein are reserved by Admiino.

4b. Licence Grant

Subject to your compliance with these Terms, Admiino grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable licence to access and use the Services solely for your internal business purposes during the term of your subscription or authorised access.

• Copy, reproduce, modify, or create derivative works based on the Services or any Admiino IP;
• Sell, resell, sublicense, distribute, or otherwise commercialise the Services or any Admiino IP without Admiino's prior written consent;
• Remove, alter, or obscure any proprietary notices, labels, or markings on or within the Services.

5. User Data & Content

5a. Ownership of Your Data

You retain full ownership of all data, information, files, and content that you upload, submit, or generate through your use of the Services ("User Content"). Admiino does not claim any proprietary rights over your User Content.

5b. Licence to Admiino

By submitting User Content to the Services, you grant Admiino a limited, worldwide, royalty-free, non-exclusive licence to access, store, process, and use your User Content strictly as necessary to:

• Provide and operate the Services to you;
• Perform technical functions such as backup, storage, and transmission;
• Improve the platform's features and functionality, using aggregated or anonymised data where possible.

This licence terminates upon deletion of your User Content or termination of your account, except where retention is required for legal or operational purposes.

5c. Your Representations

You represent and warrant that:

• You own or have the necessary rights and permissions to submit your User Content to the Services;
• Your User Content does not violate any applicable laws or the rights of any third party;
• You are solely responsible for the accuracy, legality, and appropriateness of your User Content.

6. Compatibility Insights & Disclaimer

Admiino's platform may generate insights, recommendations, compatibility scores, or team alignment analyses based on work styles, behavioural patterns, and collaboration preferences ("Insights"). These Insights are provided as informational tools to support better team collaboration.

You acknowledge and agree that:

• Insights are based on data inputs and algorithmic analysis, and are recommendations only — they do not constitute professional advice (including psychological, HR, legal, or management advice);
• Admiino does not guarantee the accuracy, completeness, or reliability of any Insight;
• Insights do not guarantee any particular outcome, team performance, or compatibility result;
• Insights must not be used as the sole basis for employment decisions, performance evaluations, promotions, disciplinary actions, or any other consequential decisions affecting individuals;
• Professional judgment must be exercised by qualified personnel when acting on any Insight.

Admiino expressly disclaims all liability for any decisions made, actions taken, or outcomes resulting from reliance on Insights generated by the platform.

7. Payments, Subscriptions & Billing

Access to certain features of the Services may require payment of fees under a subscription plan or as otherwise agreed between you and Admiino ("Fees").

7a. Billing & Payment

• Fees are billed in advance, on the billing cycle agreed at the time of subscription (monthly or annual, as applicable).
• You authorise Admiino or its authorised payment processor to charge your designated payment method for all applicable Fees.
• All Fees are stated exclusive of applicable taxes, levies, or duties, which shall be borne by you.

7b. Refund Policy

• Except as expressly stated in your subscription agreement or as required by applicable law, all Fees are non-refundable.
• No refunds or credits will be issued for partial months of service, unused periods, or unused features.

7c. Pricing Changes

• Admiino reserves the right to modify subscription pricing at any time. We will provide no less than 30 days' written notice prior to any price change taking effect.
• Continued use of the Services after a price change constitutes your acceptance of the revised pricing.

7d. Overdue Payments

If any payment is overdue, Admiino reserves the right to suspend access to your account until outstanding amounts are settled. Persistent non-payment may result in termination of your account.

8. Term & Termination

8a. Term

These Terms commence on the date you first access the Services and remain in effect for the duration of your subscription or authorised access, unless terminated earlier in accordance with this section.

8b. Termination by You

You may terminate your account at any time by following the account cancellation process within the platform or by contacting us at contact@admiino.com. Termination will take effect at the end of your current billing cycle unless otherwise agreed.

8c. Termination or Suspension by Admiino

Admiino may, at its discretion, immediately suspend or terminate your access to the Services, with or without notice, if:

• You have breached any provision of these Terms or our Acceptable Use Policy;
• We are required to do so by law or a regulatory authority;
• We reasonably believe your use poses a security threat or risk to the platform or other users;
• You fail to pay applicable Fees;
• We discontinue the Services or a material part thereof.

8d. Effect of Termination

Upon termination: (i) all licences granted to you under these Terms will immediately cease; (ii) you must cease all use of the Services; and (iii) Admiino may delete your account and User Content in accordance with our data retention policy. Provisions of these Terms that by their nature should survive termination shall remain in full force and effect, including Sections 4, 6, 9, 10, 11, and 12.

9. Limitation of Liability

To the fullest extent permitted by applicable law, Admiino, its directors, officers, employees, agents, and affiliates shall not be liable for any:

• Indirect, incidental, consequential, special, exemplary, or punitive damages;
• Loss of profits, revenue, goodwill, data, business opportunities, or anticipated savings;
• Loss or corruption of data or User Content;
• Platform interruptions, downtime, errors, or failures;
• Damages arising from your reliance on any Insights or recommendations generated by the platform;
• Damages arising from unauthorised access to your account where such access results from your failure to comply with these Terms.

In no event shall Admiino's total aggregate liability to you for all claims arising out of or in connection with these Terms or the Services exceed the greater of: (a) the total Fees paid by you to Admiino in the three (3) months immediately preceding the event giving rise to the claim; or (b) SGD 100.

10. Disclaimer of Warranties

The Services are provided on an "as is" and "as available" basis, without any warranty of any kind, express or implied. To the maximum extent permitted by applicable law, Admiino expressly disclaims all warranties, including but not limited to:

• Any implied warranties of merchantability, fitness for a particular purpose, or non-infringement;
• Any warranty that the Services will be uninterrupted, timely, secure, or error-free;
• Any warranty regarding the accuracy, reliability, completeness, or timeliness of any content or Insights generated by the platform;
• Any warranty that defects or errors in the Services will be corrected;
• Any warranty that the Services will meet your specific requirements or expectations.

11. Indemnification

You agree to indemnify, defend, and hold harmless Admiino Pte. Ltd. and its officers, directors, employees, contractors, agents, licensors, and affiliates from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or in connection with:

• Your access to or use of the Services;
• Your User Content, including any claim that your User Content infringes the rights of a third party;
• Your violation of any provision of these Terms or our Acceptable Use Policy;
• Your violation of any applicable law, regulation, or third-party right;
• Any misrepresentation made by you in connection with your use of the Services.

12. Governing Law & Dispute Resolution

12a. Governing Law

These Terms and any dispute or claim arising out of or in connection with them (including non-contractual disputes or claims) shall be governed by and construed in accordance with the laws of the Republic of Singapore, without regard to its conflict of law principles.

12b. Dispute Resolution

In the event of any dispute arising out of or in connection with these Terms or the Services, the parties agree to first attempt to resolve the dispute informally by contacting Admiino at contact@admiino.com. If the dispute is not resolved within 30 days of written notice, either party may refer the matter to the courts of Singapore, which shall have exclusive jurisdiction.

13. Confidentiality

In the course of using the Services, you may have access to non-public information about Admiino's platform, technology, business processes, pricing, or other proprietary information ("Confidential Information"). You agree to:

• Keep all Confidential Information strictly confidential;
• Not disclose Confidential Information to any third party without Admiino's prior written consent;
• Use Confidential Information solely for the purpose of using the Services in accordance with these Terms;
• Apply at least the same standard of care to protect Confidential Information as you apply to protect your own confidential information, but no less than reasonable care.

This obligation of confidentiality survives termination of these Terms for a period of three (3) years.

14. Third-Party Services & Links

The Services may integrate with, link to, or reference third-party services, applications, or websites. Admiino does not endorse, control, or assume responsibility for any third-party services, and your use of such services is governed solely by their respective terms and conditions and privacy policies.

15. Changes to These Terms

Admiino reserves the right to revise these Terms at any time. When we make material changes, we will:

• Post the updated Terms on our website with a revised "Last Updated" date;
• Notify registered users via email or an in-platform notification where the changes are significant.

Your continued access to or use of the Services after the effective date of any changes constitutes your binding acceptance of the revised Terms.

16. General Provisions

16a. Entire Agreement

These Terms, together with the Privacy Policy and any additional terms applicable to specific features or subscription plans, constitute the entire agreement between you and Admiino with respect to the Services and supersede all prior agreements, representations, and understandings.

16b. Severability

If any provision of these Terms is found by a court or competent authority to be invalid, unlawful, or unenforceable, that provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall continue in full force and effect.

16c. Waiver

Admiino's failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.

16d. Assignment

You may not assign or transfer your rights or obligations under these Terms without Admiino's prior written consent. Admiino may assign these Terms or its rights hereunder without restriction.

16e. Force Majeure

Admiino shall not be liable for any failure or delay in performance resulting from circumstances beyond its reasonable control, including natural disasters, acts of government, cyberattacks, internet or infrastructure outages, or other force majeure events.
